Terms of Service
These terms govern use of the GovBuyX platform, including FedBidX and GovBuyExpress. By using the platform you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it, and “you” means that company.
1. Access is by invitation
There is no public sign-up. Accounts are created by GovBuyX or by an administrator at your own company. We may decline, withdraw or suspend an invitation at our discretion.
An invitation passcode is single-use and expires 72 hours after it is issued. If it lapses, an administrator can issue a fresh one, which invalidates the old one.
2. Your account
- Keep your password and any two-factor device to yourself. Do not share an account; if somebody needs access, they need their own.
- You are responsible for what happens under your account.
- Tell us promptly if you believe an account has been compromised.
- Your access level is set by your company’s Owner or Executives, not by us, and they can change it at any time.
3. What the platform does, and what it does not do
GovBuyX helps you find federal contract and grant opportunities, evaluate them, prepare packages, and manage the work. Being clear about the limits matters more than being flattering about the capabilities:
- We do not submit anything to the government for you. Marking work as submitted in GovBuyX records that you submitted it. It does not transmit an offer to any contracting officer, agency portal, SAM.gov or Grants.gov.
- We do not guarantee any outcome. Nothing here improves or predicts your chances of an award.
- Opportunity data comes from public federal sources — chiefly SAM.gov and Grants.gov — and is copied into our database on a schedule. It can be incomplete, delayed, amended after we retrieved it, or withdrawn. Always verify against the official source before you rely on it, and treat the solicitation document itself as authoritative over anything shown here.
- Deadlines shown are a convenience, not a commitment. Check the deadline in the solicitation.
- We are not your lawyer, your accountant or your contracts advisor. Nothing in the platform is legal, tax, accounting or procurement advice.
4. Generated drafts
The platform produces summaries, briefs and proposal drafts using language models. These are starting points. They can be confidently wrong, can misstate a requirement, and can omit something mandatory.
A person must read, verify and correct anything generated before it is submitted anywhere or relied on. You remain responsible for everything you submit, whoever or whatever drafted it.
5. Your data and your content
Your company’s information, work product and documents remain yours. You grant GovBuyX only the permission needed to run the service for you: to store, process and display that material to the people your company has authorised.
We do not use your work product to train models for other customers. How we handle personal information is set out in the Privacy Policy.
You are responsible for having the right to put into the platform whatever you put into it, including anything containing someone else’s confidential or personal information.
6. Acceptable use
Do not:
- Use the platform unlawfully, or to prepare anything fraudulent — including misrepresenting a company’s size, ownership, certifications or set-aside eligibility.
- Try to reach data belonging to another company, or to another person beyond your permissions.
- Probe, scrape, overload, reverse-engineer or circumvent the platform’s controls.
- Resell or provide the platform to anyone outside your company without our written agreement.
- Upload malicious code, or anything you do not have the right to upload.
7. Compute credits
Certain actions — curated searches, briefs, drafts — consume credits.
- Credits are bought manually by someone with billing authority. Nothing recharges automatically, deliberately, so that no purchase happens without a person deciding.
- Credits do not expire.
- Credits belong to one company and are never shared with another, including a parent or subsidiary company.
- Every purchase produces a receipt you can download.
- No card details are taken in the platform; purchases are invoiced.
- Your company can set per-person spending limits. Reaching a limit stops the action and says so.
- Prices are STATE PRICING AND HOW IT MAY CHANGE. Refunds: STATE THE REFUND POSITION.
- Payment terms: STATE INVOICE TERMS AND WHAT HAPPENS ON LATE PAYMENT.
8. Suspension and ending
Your company’s administrators can block or remove your account at any time. We may suspend or end access for breach of these terms, for non-payment, or where required by law. You may stop using the platform at any time.
On termination: STATE WHETHER AND HOW DATA CAN BE EXPORTED, AND HOW LONG IT IS KEPT BEFORE DELETION.
9. Availability
We aim to keep the platform running and will give notice of planned maintenance where we can, but it is provided without any uptime guarantee unless we have separately agreed one in writing with you. COUNSEL: ADD A SERVICE LEVEL COMMITMENT IF ONE IS TO BE OFFERED.
10. Warranties
COUNSEL TO DRAFT. The intended position is that the platform is provided “as is”, without warranties of merchantability, fitness for a particular purpose, or non-infringement, and specifically without any warranty as to the accuracy, completeness or currency of federal opportunity data obtained from third-party government sources.
11. Limitation of liability
COUNSEL TO DRAFT. The intended position is no liability for indirect or consequential loss, including lost profits, lost contracts, a missed submission deadline, or an unsuccessful bid; and an aggregate cap tied to fees paid over a stated preceding period.
12. Governing law and disputes
COUNSEL TO SPECIFY governing law, jurisdiction or venue, and whether disputes go to arbitration. Note that tribal entities and tribal sovereign immunity may be relevant to both parties here and should be addressed deliberately rather than by template.
13. Ownership
GovBuyX and its software, branding and documentation belong to GovBuyX. See Ownership. Nothing here transfers any of it to you beyond the right to use the platform under these terms.
14. Changes to these terms
We may update these terms. We will change the date at the top and, where the change is significant, tell you in the application. Continuing to use the platform after a change means you accept it.
